These Terms of Use govern your access to and use of the website www.ukel.co (hereinafter referred to as the “Website”), which is owned and operated by Ukel Corporation Private Limited, a company duly incorporated under the Companies Act, 2013, having its registered office at 203 OM Complex, Bhaktinagar Station Circle Corner, Tagore Road, Rajkot - 360002 (hereinafter referred to as "Ukel", "we", "our", or "us").

These Terms apply to all users of the Website, including but not limited to customers browsing hardware and software services, purchasing devices and parts, subscribing to support plans, or interacting with Ukel's digital tools and AI-based diagnostics. By accessing or using any part of the Website, you (“You”, “Your”, or “User”) agree to be bound by these Terms of Use and our Privacy Policy.

These Terms of Use are published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, which require publishing the rules and regulations, privacy policy, and Terms of Use for access or usage of the Website.

PART A – GENERAL TERMS RELATING TO PLATFORM

1. Eligibility to Use

i. Use of the Platform is available only to individuals who are at least eighteen (18) years old and legally capable of entering a contract under the Indian Contract Act, 1872. Users who are minors, undischarged insolvents, or otherwise incompetent to contract are not permitted to use the Platform. If You do not meet these eligibility criteria, you must not access or use the Website or avail of Ukel’s services.

ii. Ukel reserves the right to refuse access to the Platform or its services to any new or existing Users at its sole discretion, without providing any specific reasons.

iii. Each User is permitted to have only one active account on the Platform. Users are strictly prohibited from selling, trading, or transferring their accounts to any third party.

2. Registration of Your Account

i. You may access and use the Platform either as a registered User or as a guest User. However, certain features and services may only be accessible to registered Users.

ii. To create a registered user account, you must provide Ukel with the necessary User information as requested. Upon successful registration, you will be able to create a unique login ID and password ("Account").

iii. You are responsible for maintaining the confidentiality of Your account credentials, including Your password. You agree to take all necessary precautions to prevent unauthorized access to Your account and acknowledge that You are responsible for all activities that occur under Your account. If You suspect any unauthorized use or access, you must notify Ukel immediately.

iv. It is Your responsibility to ensure that the details provided during registration are accurate, complete, and up to date. Any changes to Your account information must be updated promptly within Your account settings on the Platform.

v. You agree to use Your account solely for personal purposes and not for commercial transactions unless explicitly authorized by Ukel. If You wish to use the Platform for business purposes, you must contact support@ukel.co for assistance.

vi. Ukel reserves the right to suspend, terminate, or restrict access to any User account at its sole discretion without prior notice, particularly in cases of suspected misuse, fraudulent activity, or breach of these Terms of Use.

vii. By registering on the Platform, you acknowledge that Ukel may collect and store certain personal information. The collection, storage, and use of Your personal information shall be governed by Ukel’s Privacy Policy, which can be accessed at www.ukel.co/privacy-policy

3. User Representations and Obligations

i. Subject to compliance with these Terms of Use, Ukel grants You a non-exclusive, limited right to access and use the Platform and its services.

ii. You agree to use the Platform and its services only for purposes that comply with these Terms and applicable laws, regulations, and industry best practices.

iii. You are solely responsible for the actions of Your employees, subcontractors, or representatives, if applicable, and any claims arising from them. Ukel is not responsible for any such third-party actions.

iv. You shall not engage in activities that negatively impact the Platform, its services, or the experience of other Users.

v. You shall not attempt to access the Platform or its content through unauthorized means, including automated tools, hacking, or circumvention techniques.

vi. You acknowledge that while using the Platform, you may encounter content from other Users that You may find offensive. Ukel disclaims all liabilities arising from such content.

vii. If You upload or post content on the Platform, you must ensure it complies with applicable laws and is not offensive, defamatory, obscene, or otherwise objectionable.

viii. By submitting content, you grant Ukel a worldwide, non-exclusive, perpetual, royalty-free license to use, reproduce, distribute, and modify such content in connection with the Platform and its promotional activities.

ix. You agree not to:

• Defame, abuse, harass, or violate the rights of others.
• Impersonate any entity or misrepresent affiliations.
• Post unlawful, harmful, or inappropriate content.
• Upload protected materials without permission.
• Introduce malware, viruses, or disrupt Platform operations.
• Attempt unauthorized access, hacking, or security breaches.
• Collect or misuse User data.
• Engage in any activity that violates applicable laws or these Terms.

x. Ukel reserves the right to review and remove any content that violates these Terms.

xi. Ukel may modify or discontinue any part of the Platform, charge fees, or offer exclusive features at its discretion.

4. Use of Materials

i. Except as expressly indicated herein, Ukel grants You a non-exclusive, freely revocable (upon notice from Ukel), non-transferable right to view, download, and print any materials available on the Platform, subject to the following conditions:

• You may access and use the materials solely for personal, informational, and internal purposes, in accordance with these Terms of Use.
• You may not modify or alter the materials available on the Platform.
• You may not distribute, sell, rent, lease, or otherwise make the materials on the Platform available to others.
• You may not remove any text, copyright, or other proprietary notices contained in Ukel-related materials available on the Platform.

ii. The rights granted in the materials specified above do not extend to the design, layout, or look and feel of the Platform, which are protected by intellectual property laws and may not be copied or imitated in whole or in part.

iii. Any software available on the Platform is the property of Ukel. You may not use, download, or install any software available on the Platform unless expressly permitted by these Terms of Use or by Ukel’s written permission.

5. Usage Conduct

i. You are solely responsible for ensuring that You have the necessary computer hardware, internet connection, and software required to access, use, and transact on the Platform. Ukel shall not be responsible for any technical issues, connectivity failures, or device incompatibilities that may affect Your experience on the Platform.

6. Intellectual Property Rights

i. Subject to Section 7 below, the Platform, its processes, and their selection and arrangement—including but not limited to all text, graphics, user interfaces, visual interfaces, artwork, computer code, and other materials (collectively, the “Content”)—are owned and controlled by Ukel Corporation Private Limited. The design, structure, selection, coordination, expression, look and feel, and arrangement of such Content are protected by applicable copyright, patent, and trademark laws, as well as other intellectual property rights.

ii. The Ukel name, Ukel logo, UCOIN, and any other related marks, logos, or service names displayed on the Platform are trademarks or registered trademarks (the “Marks”) owned by Ukel Corporation Private Limited or respective third parties. You are not permitted to use these Marks without prior written consent from Ukel or the respective trademark owners.

iii. Except as expressly provided herein, you acknowledge and agree that You shall not copy, republish, post, display, translate, transmit, reproduce, or distribute any Content from the Platform through any medium without obtaining explicit written authorization from Ukel.

iv. Ukel respects the intellectual property rights of others. If You believe that any content on the Platform infringes upon Your intellectual property rights, please contact support@ukel.co with the necessary details.

7. Disclaimer of Warranties & Liability

i. YOU EXPRESSLY UNDERSTAND AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: The Platform, its services, and all related materials are provided by Ukel Corporation Private Limited on an “as is” and “as available” basis without any warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose.

ii. Without limiting the foregoing, Ukel makes no warranties that:

• The Platform, its services, or any features will meet Your requirements or function without interruption, delay, security breaches, or errors.
• The results obtained from the use of the Platform will be accurate, reliable, or free from defects.
• The quality of services or products offered through the Platform will meet Your expectations.
• Any errors or defects in the Platform will be corrected.

iii. No advice or information, whether oral or written, obtained by You from Ukel or through the Platform shall create any warranty not expressly stated in these Terms of Use.

iv. Ukel shall not be responsible or liable for any content posted by third parties on the Platform, including any infringement of intellectual property, libel, privacy violations, or other legal claims. Ukel also disclaims all liability with respect to any misuse, unauthorized modification, loss, or unavailability of User-submitted content.

v. Ukel will not be liable for any loss, damages, or consequences arising from unauthorized access to Your account or account information, with or without Your knowledge.

vi. While Ukel strives to maintain accurate information on the Platform, Ukel makes no representations or warranties regarding the accuracy, completeness, or reliability of any information, services, or functionalities offered. Ukel shall not be responsible for delays, service disruptions, or non-availability of the Platform due to maintenance, technical issues, or other circumstances beyond its control.

vii. Any material or data downloaded or otherwise obtained through the Platform is done entirely at Your own discretion and risk. Ukel shall not be responsible for any damage to Your computer systems, devices, or loss of data resulting from such downloads.

viii. Users engaging in transactions involving third-party services or integrations available through the Platform do so entirely at their own risk. Ukel shall not be responsible for any disputes, defaults, losses, claims, or damages resulting from such transactions.

8. Indemnification and Limitation of Liability

i. You agree to indemnify, defend, and hold harmless Ukel Corporation Private Limited, including but not limited to its officers, directors, consultants, agents, and employees (collectively, "Indemnitees"), from and against any and all losses, liabilities, claims, damages, demands, costs, and expenses (including legal fees and disbursements) that arise out of, result from, or may be payable by virtue of, any breach or non-performance of any representation, warranty, covenant, or obligation by You pursuant to these Terms of Use. Further, you agree to hold the Indemnitees harmless against any claims made by third parties due to, or arising out of, or in connection with, your use of the Platform, your violation of the Terms of Use, or Your violation of any rights of another, including intellectual property rights.

ii. In no event shall Ukel, its officers, directors, consultants, agents, or employees be liable to You or any third party for any special, incidental, indirect, consequential, or punitive damages whatsoever, including but not limited to loss of use, data, or profits, whether foreseeable or not, arising out of or in connection with:

• Your use of or access to the Platform or its services.
• Any interruptions, delays, or failures in Platform functionality.
• Any third-party services or transactions facilitated through the Platform.

iii. The limitations and exclusions in this Section apply to the maximum extent permitted by applicable law.

9. Violation of the Terms of Use

i. You agree that Ukel may, in its sole discretion and without prior notice, terminate Your access to the Platform, delist Your account, and block Your future access if Ukel determines that You have violated these Terms of Use. You also acknowledge that any violation of these Terms of Use constitutes an unlawful and unfair business practice that may cause irreparable harm to Ukel. In such cases, Ukel reserves the right to seek injunctive or equitable relief in addition to any other legal remedies available.

ii. If Ukel initiates legal action against You due to Your violation of these Terms of Use, you agree to reimburse Ukel for all reasonable attorneys’ fees and legal costs incurred in such proceedings, in addition to any other relief granted to Ukel.

PART B – GENERAL TERMS FOR PLATFORM SERVICES

10. Platform Services and Transactions

i. The Platform acts as a digital marketplace, enabling Users to browse, purchase, and avail themselves of computer hardware, repair services, and technical support. The Platform also facilitates Web3-based functionalities, subscription plans, and other ancillary services (collectively referred to as "Platform Services").

ii. Ukel may, at its discretion, modify, add, or remove any Platform Services at any time without prior notice. In the case of new or modified services, Users may be required to agree to additional terms and conditions.

iii. All transactions for hardware purchases and service bookings are made directly between You and Ukel. Ukel is solely responsible for the provision of all services listed on the Platform.

iv. Ukel provides accurate descriptions, pricing, and availability of hardware and services. However, minor discrepancies may arise due to operational factors, and Users acknowledge that Ukel will take reasonable efforts to ensure transparency and correctness.

v. The prices displayed on the Platform are indicative and may vary based on the scope of services, the nature of hardware repairs, and other factors. Any additional costs incurred during service fulfilment shall be communicated to You by Ukel before proceeding with the service.

vi. Any services booked through the Platform cannot be cancelled or modified by the User unless explicitly permitted by Ukel’s refund and cancellation policy. In case of service cancellations initiated by Ukel, refunds will be processed within 5-7 business days.

vii. Ukel shall be responsible for ensuring the quality, completeness, and timeliness of services provided. In case of any discrepancies, delays, or cancellations, Users may contact Ukel’s customer support for resolution.

viii. Users can search for available services and hardware on the Platform. Search results are based on an algorithm that considers multiple factors such as availability, customer ratings, and service efficiency. Ukel reserves the right to determine the ranking and display of search results.

ix. Ukel does not guarantee the availability of any hardware or service on the Platform. All purchases and service bookings are subject to availability at the time of the transaction.

11. Termination

i. These Terms of Use will continue to apply until terminated by either You or Ukel. You may terminate Your agreement with Ukel by (i) notifying Ukel in writing of Your intention to close Your account; and (ii) ceasing to access the Platform. Such termination shall take effect 30 (thirty) days after receipt of such notice by Ukel, provided that You have no pending service bookings or obligations.

ii. Ukel may terminate these Terms of Use with You at any time, with or without notice, if:

1. You breach any provision of these Terms of Use, the Privacy Policy, or any other applicable terms and conditions.
2. Ukel is required to do so by law or upon request by a regulatory authority.
3. Providing Platform Services to You is no longer commercially viable for Ukel.
4. You provide false, inaccurate, or misleading information.
5. Ukel elects to discontinue access to the Platform or certain Platform Services.

iii. Upon termination of Your account, Ukel may:

1. Remove access to the Platform and related services.
2. Delete Your account information and associated data.
3. Restrict further use of the Platform and its services.

iv. Termination shall not relieve You of any liabilities incurred before the termination date. Ukel shall not be liable to You or any third party for any termination or suspension of Your access to the Platform.

12. Governing Law

i. These Terms of Use shall be governed in accordance with the laws of India without reference to conflict of laws principles.

ii. Any disputes arising from the use of the Platform shall be subject to the exclusive jurisdiction of the Courts at Ahmedabad, India.

13. Report Abuse

i. If You come across any violation of these Terms of Use or any objectionable content on the Platform, please report it to support@ukel.co.

14. Communications

i. By using the Platform, you agree to receive communications from Ukel via SMS, email, or other digital means regarding Platform Services.

ii. You may opt out of receiving communications by contacting support@ukel.co.

15. General Provisions

i. Notices: All notices from Ukel will be sent to Your registered email or provided as general notifications on the Platform. Any notices to Ukel should be sent to support@ukel.co with the subject line "Attention: Terms of Use".

ii. Assignment: You may not assign Your rights under these Terms of Use to any third party. Ukel may transfer its rights to any third party without requiring Your consent.

iii. Severability: If any provision of these Terms of Use is found to be unenforceable by a competent court, that provision shall be enforced to the maximum extent possible, and the remainder of the Terms of Use shall continue in full force.

iv. Waiver: Failure by Ukel to enforce any provision of these Terms of Use shall not be deemed a waiver of such provision.

16. Feedback and Information

i. Any feedback You provide on the Platform shall be deemed non-confidential. Ukel may use such feedback freely. You confirm that Your feedback does not contain confidential or proprietary information and that Ukel is not obligated to maintain confidentiality.

ii. Ukel reserves the right to remove any feedback that violates these Terms or is deemed inappropriate. Additionally, feedback may be required as evidence when necessary.
